Partner Agreement

This Partner Agreement (the "Agreement") is entered into by and between UST LLC, a company organized and existing under the laws of Republic of Armenia, with its principal place of business at Yerevan("Licensor"), and the individual or entity using the Partner application of the UST mobile application ("Partner").

1. DEFINITIONS

1.1 "UST App" refers to the UST mobile application, including both the Customer and Partner applications.

1.2 "Partners" refers to individuals or entities using the Partner application of the UST App, providing automotive services or selling car parts.

1.3 "Customers" refers to individuals using the Customer application of the UST App, seeking automotive services or purchasing car parts.

2. GRANT OF LICENSE

2.1 Subject to the terms and conditions of this Agreement, Licensor grants Partner a non-exclusive, non-transferable license to use the UST App solely for Partner's business purposes related to automotive services or the sale of car parts.

2.2 The license includes the right to access and use all features and functionalities of the UST App as described in the documentation provided by Licensor.

3. REGISTRATION AND ACCOUNTS

3.1 Partner agrees to register a store on the UST App by providing accurate and complete information, including location and organization details.

3.2 Licensor may verify Partner's identity through social media accounts, email, and phone number verification. Partner agrees to cooperate with any verification process initiated by Licensor.

4. SERVICES AND OCCUPATION TYPES

4.1 Partner must define their occupation types and select the cars and services they support in the UST App. Partner acknowledges that the accuracy of this information is crucial for matching services with customer orders.

4.2 Partner must ensure that the services and occupation types selected align with the actual services they provide.

5. ORDER PLACEMENT AND PROCESS

5.1 Partners receive orders based on their specified occupation types and services. Partner understands that prompt and accurate responses to customer orders contribute to a positive user experience.

5.2 Partners can suggest prices for services, and customers can choose the offer that best fits their needs. Partner agrees to transparent and fair pricing practices to maintain the integrity of the UST App marketplace.

6. FEES AND PAYMENT

6.1 UST LLC receives a percentage from each transaction between Partners and Customers, as specified in the percentage set in the Partner's settings. Partner acknowledges and agrees to the fee structure outlined in the UST App.

6.2 Payment transactions will be handled through the UST App's wallet system. Partner shall ensure the availability of funds in their wallet to facilitate seamless transactions within the UST App.

7. SETTINGS, HISTORY, AND NOTIFICATIONS

7.1 Partner has access to settings, order history, notification, and wallet history sections within the UST App. Partner is responsible for configuring settings according to their preferences and monitoring relevant sections for updates and transactions.

8. INTELLECTUAL PROPERTY

8.1 The UST App and all related intellectual property rights remain the exclusive property of Licensor. Partner agrees not to reproduce, distribute, or modify any part of the UST App without prior written consent from Licensor.

9. TERM AND TERMINATION

9.1 This Agreement shall commence upon Partner's acceptance and continue until terminated by either party. Partner may terminate the Agreement by ceasing to use the UST App, and Licensor may terminate for cause upon written notice if Partner breaches any material term.

10. MISCELLANEOUS

10.1 This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. Any modifications to this Agreement must be made in writing and agreed upon by both parties.

IN WITNESS WHEREOF, the parties hereto have executed this Partner Agreement as of the Effective Date.
